End User Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and Johnson Strategic Consultancy LLC, a limited liability company organized under the laws of the State of [Insert State] with its principal place of business at [Insert Address] (“Company,” “we,” “our,” or “us”). This Agreement governs your access to and use of the [Product Name] software-as-a-service web application and related services (collectively, the “Service”).

By accessing, browsing, or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree, do not access or use the Service.

1. License Grant

Subject to your compliance with this Agreement and payment of any applicable fees, the Company grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes.

2. Account Registration & Security

You may be required to create an account to use certain features. You must provide accurate, current, and complete information and maintain the security of your account credentials.
You are responsible for all activities under your account. Notify us immediately of any unauthorized use or security breach.

3. Acceptable Use & Restrictions

You agree not to:

Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Service.
Use the Service for any unlawful, fraudulent, or harmful purpose.
Circumvent, disable, or otherwise interfere with security features or usage limits.
Use the Service to build a competing product or service.
Share, rent, lease, sell, sublicense, or otherwise transfer your rights under this Agreement.

4. Intellectual Property Rights

The Service, including all software, code, text, graphics, logos, trademarks, content, and other materials, is owned by or licensed to the Company and is protected by intellectual property laws. Except for the limited license granted above, no rights or ownership are transferred to you.

5. User Content

You may provide data, information, or materials through your use of the Service (“User Content”).
You retain ownership of your User Content. However, you grant the Company a non-exclusive, worldwide, royalty-free license to host, use, display, and process your User Content solely for the purpose of providing and improving the Service.
You represent that you have all necessary rights and permissions to provide and use such User Content.

6. Third-Party Services

The Service may integrate with or link to third-party products or services. Your use of any third-party services is governed by their respective terms, and the Company is not responsible for any third-party content, functionality, or performance.

7. Fees & Payment

If you subscribe to paid features of the Service, you agree to pay all applicable fees according to the pricing plan selected. Fees are non-refundable except as required by law. The Company may modify fees with prior notice in accordance with applicable law.

8. Term & Termination

This Agreement is effective from the date you first access the Service and continues until terminated.
The Company may suspend or terminate your access at any time for violation of this Agreement, non-payment, or to protect the integrity of the Service.
Upon termination, your right to access and use the Service will cease, but sections that by their nature should survive (e.g., IP ownership, disclaimers, limitation of liability) will remain in effect.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Johnson Strategic Consultancy LLC does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Johnson Strategic Consultancy LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SERVICE.
THE COMPANY’S TOTAL LIABILITY FOR ANY CLAIM UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Johnson Strategic Consultancy LLC, its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, violation of this Agreement, or infringement of any third-party rights.

12. Modifications to the Service or Agreement

The Company reserves the right to modify or discontinue the Service (in whole or in part) or update this Agreement at any time. Changes to this Agreement will be effective upon posting. Continued use of the Service constitutes acceptance of any modified terms.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles.

Any dispute arising under or relating to this Agreement shall be resolved exclusively in the state or federal courts located in [County, State], and you consent to the jurisdiction of such courts.

14. Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between you and Johnson Strategic Consultancy LLC regarding the Service.
Severability: If any provision is held invalid, the remaining provisions will remain in full force and effect.
No Waiver: The failure of either party to enforce any provision shall not constitute a waiver of that provision.
Assignment: You may not assign this Agreement without our prior written consent. We may assign it without notice.
